The general taxation practice, which encompasses federal and state tax planning, compliance, audit, appeal and litigation, is the foundation of Keith & Associates.

We provide sophisticated federal and state tax planning associated with business and real estate transaction, including strategies for structuring tax-free mergers, acquisitions and divestitures, tax-advantaged asset and equity transactions and business reorganizations to produce optimum after-tax results.

We help corporations, partnerships and limited liability companies organize and structure their operations to minimize federal and state income tax consequences.

We also have extensive experience representing professional athletes and helping them deal with tax issues as well as with the creation and administration of private foundations and non-profit organizations. Currently, we represent over 75 active and retired professional athletes and coaches, including a former major league baseball most valuable player, a Cy Young award winner, NBA, MLB, and NHL all-stars, NFL Pro Bowl participants and Olympians.

In addition, we have significant experience dealing with the IRS and other tax regulatory bodies, helping clients respond to federal and state notices, audits and tax appeals.

We also work closely with real estate counsel and have assisted purchasers and sellers with over 100 sophisticated like-kind and reverse like-kind exchanges. Our attorneys have completed over 100 like-kind exchanges which have permitted the sellers of real estate to defer payment of income tax attributable to the disposition of property.
